eRomance.com is a website offering articles and reviews (hereinafter "Content") and an online community (hereinafter "Community). This website is owned and operated by IT World Services, Inc.. (hereinafter Company), a California Corporation and this agreement shall be interpreted per the laws governing the State of California. By using this website you agree to the terms of use as defined below. It is your responsibility to read and understand all terms. If you do not agree with these terms, you should not use this website.

Community Conduct
When you create a Community membership, you hereby agree to the following rules of community conduct. Company reserves the right to terminate any Community membership account without notice, if any of the following rules are violated:

a. Your Responsibilities - You are solely responsible for the information displayed in conjunction with your profile, blog, discussion posts, or any comments posted throughout eRomance.com. Moreover, you are solely responsible for your interactions with Community members. You agree to take reasonable precautions when interacting with Community members, whether it be online or offline. The company provides no assurances as to the safety or authenticity of anyone you may meet through interactions this Community.

b. Company Obligations - Company has no obligation, to monitor the materials posted in the public areas of the Service. Whereas you are solely responsible for your profiles and posts however, the Company may opt to delete any content, messages, photos or profiles (collectively, "Content") that in the sole judgment of the Company, violates the Terms of Use or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of the Company, its representatives or officers, or Community members.

c. Libel Content - You will not post or transmit any information to other Community members, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). Furthermore you will not take actions to promote the physical harm or harassment of another person, engage in or promote spamming, provide information that you know is illegal, false or misleading, or designed to exploit those under 18 or otherwise provide instructional information about illegal activities such as making or buying illegal weapons, violating someone else's right to privacy or providing or creating computer viruses.

d. Misrepresentation - You will not intentionally provide any false or misleading information to the Company, or to Community members. If any unintended false or misleading information is discovered, or if the information becomes inaccurate, you will be responsible for proactively correcting said information, in an expedient manner.

e. Membership Limitation - You may only have one Community membership account active at any time. Moreover, you shall not share this account with any other person. The account is to be your only account and accessibly by you and you alone.

f. Commercial Use Prohibited - You may not engage in advertising to, or solicitation of, other members to buy or sell any products or services through the service. You will not transmit any chain letters or junk email to Community members. Please note that eRomance.com does provide advertising opportunities and if you are interested in advertising to on eRomance.com, please write to ads@eromance.com for more information and permission. Unauthorized commercial activity however is expressly forbidden.

g. Automatic Devices Prohibited - You will not use any automatic device, spider or robot to access, "scrape" the Contact, create Community profiles, or otherwise attempt to access the website or its infrastructure in an unintended manner. Because these activities could impair the validity or availability of eRomance.com, such activities are expressly forbidden.

h. Report Abuse - You will proactively report any abuses or violations of the Terms of Service by other Community members.

Community Eligibility
To create a Community account you must be 18 years or older. The Community is further subject to U.S. export controls and thus the Community membership is not available to residents of Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other country to which the U.S. has embargoed goods. Further, in an effort to protect our members - users from Nigeria, Senegal, Saudi Arabia, Ghana, Lithuania are not eligible for membershup, since the majority Internet scams arise from these countries.

Proprietary Rights
Company owns and retains all rights to eRomance.com and the contents therein, including but not limited to all Content, Software, copyrights and Trademarks. This proprietary right excludes information which is public domain, or for which we have obtained a license or have been given permission to use by a 3rd party. You may not copy, distribute, publish, or sell any such proprietary information without the expressed permission of they Company.

Limitation of Liability
Company claims immunity from liability to the fullest extent under the law and as provided under the Communications Decency Act for Content provided by third parties and members and nothing in this Agreement is intended to waive, remove, or usurp such immunity. Further, under no circumstances shall Company be responsible for any loss or damage resulting from anyone's use of the Site or the service and/or any content posted on eRomance.com or transmitted to Community members. The Site and the service are provided "AS-IS" and Company expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Moreover, Company cannot guarantee and does not promise any specific results from use of eRomance.com.

Indemnity
You agree to indemnify and hold Company, its subsidiaries, affiliates, officers, agents, and partners from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the service in violation of this Agreement and/or arising from a breach of these Terms of Use and/or any breach of your representations and warranties set forth above.

Arbitration of Disputes
Any dispute arising out of or connected to these Terms of Use shall be submitted to binding arbitration according to the rules of the American Arbitration Association. The parties to the arbitration shall evenly divide any and all costs of the arbitration (50%/50%). Neither party shall be entitled to attorney fees. All parties submit to exclusive jurisdiction in San Francisco County, California. The arbitration shall take place exclusively in San Francisco County, California, before a retired judge and shall be governed by California law without regard to its conflict of law provisions.

Cost of Membership
eRomance offers both basic and premium memberships. Basic membership is free and requires no credit card to setup. This membership allows you to view the member community, engage in community forums, create a profile, and respond to messages. Users have the option to upgrade to a premium membership for jsut $29.95 USD for an annual membership and this provides them the ability to view personality compatibility details and contact other members. Note - because the basic membership provides a deep level preview of the community and because the cost of premium membership upgrade is so low, no refunds are offered for upgraded premium memberships.
